Terms of Service

1. Definitions

  • "Application" means the Sublyric software provided by ShineSoft [Guangzhou Shi'er Software Technology Co., Ltd. ("ShineSoft," "we," "us," or the "Company")];

  • "License" means the right to use the Application granted to you upon purchase, in accordance with this Agreement;

  • "Order" means your request, placed through Paddle, to purchase a License from us;

  • "You" means the individual using the Application, or the organization on whose behalf they are doing so.

2. Acknowledgment

These Terms of Service form a legally binding agreement between you and us. By accessing or using the Application, you agree to be bound by these Terms, as well as by our Refund Policy and Privacy Policy, which are incorporated by reference and form part of these Terms.

3. Merchant of Record and Payment

Order processing, payment collection, and invoicing are handled on our behalf by Paddle.com Market Ltd ("Paddle") as the Merchant of Record. Your payment information is collected and processed by Paddle under Paddle's terms and Privacy Policy; we never access or store it.

4. License Grant and Activation Codes

Subject to payment of applicable fees and your compliance with these Terms, we grant you a non-exclusive, non-transferable, personal license to activate and use the Application on one (1) device using one activation code ("one device, one code").

Device migration: each license supports up to five (5) device changes, with at least three (3) calendar days between changes; the authorization on the original device is deactivated upon migration. If you need to exceed these limits for reasons such as device failure or loss, please contact support --- we will complete a manual review and respond within seven (7) business days.

You may not sell, rent, transfer, or share your activation code, reverse-engineer or decompile the Application, or use automated means to abuse the Service. We may suspend or terminate an activation code for violations of this section.

5. Intellectual Property

The Application and all of its content (code, interface, design, algorithms, documentation, etc.) are owned by us or our licensors. You receive no ownership rights in the Application under this Agreement.

6. Acceptable Use (AI Processing)

Speech recognition (transcription) is performed entirely on your device and does not upload your audio or video files to any server. Subtitle translation, however, requires calling a third-party AI/API service to process the subtitle text (see Section 4 of the Privacy Policy in Part Three of this Agreement for the specific providers and data flows). Other than this necessary AI processing, we do not otherwise retain, review, or access the content you process. You agree not to use the Application to generate, process, or distribute content that violates applicable law, including without limitation non-consensual intimate content, hate speech, harassment or defamation directed at a specific person or group, content involving the sexual exploitation of minors, or content intended to facilitate malware or cyberattacks.

You are solely responsible for the audio, video, and text content you process using the Application, including ensuring you hold all rights necessary to process that content, and for your own use of the resulting subtitles or translations. You may not use content generated by the Application to infringe the copyright, publicity rights, privacy, or other lawful rights of any third party. If you breach this section, we may suspend or terminate your license, without liability to you.

7. Disclaimer and AI Output Notice

To the maximum extent permitted by law, the Application is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or uninterrupted operation. We do not warrant that the Application will be error-free, uninterrupted, or that we will continue to provide updates, upgrades, or technical support for it.

The Application includes AI-based subtitle recognition and generation features. You understand and agree that:

  • Any stated subtitle-recognition accuracy rate is calculated as character accuracy under standard test conditions, and does not account for punctuation, speaker separation, or timestamp alignment;

  • Real-world recognition results may vary depending on factors such as audio quality, accent, background noise, technical terminology, and language;

  • We do not guarantee the accuracy, completeness, or fitness of the output for any particular purpose, and you are responsible for evaluating and using the output at your own discretion.

8. Limitation of Liability

To the maximum extent permitted by law, our total liability to you will not exceed the amount you actually paid for the License giving rise to the claim, and we will not be liable for any indirect, incidental, special, or consequential damages, including lost profits or data loss. Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not fully apply to you.

9. Right of Withdrawal and Refunds

Your right to a refund, and any applicable statutory right of withdrawal, is governed exclusively by our Refund Policy, which forms part of these Terms. If you are a consumer in the EU, UK, or a similar jurisdiction that grants a right of withdrawal for digital content, the specific rules are set out in the Refund Policy.

10. Termination

If you materially breach these Terms, we may terminate the validity of the relevant activation code and license, and reserve the right to seek compensation from you for any resulting losses. Upon termination, you must stop using and uninstall the Application and all copies of it.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-laws principles.

Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith negotiation. Failing that, the dispute shall be submitted to the Shenzhen Court of International Arbitration ("SCIA") for arbitration in accordance with its arbitration rules in effect at the time of the arbitration application. The seat of arbitration is Shenzhen, the language of arbitration is English, and the arbitral award is final and binding on both parties.

If you are a consumer, this clause does not affect the protections and remedies you are entitled to under the mandatory laws of your place of residence. Where local law prohibits referring consumer disputes to arbitration, or requires such disputes to be heard by a specific court, that mandatory local law will prevail.

12. Changes to These Terms

We may modify these Terms from time to time, and will give advance notice of material changes via a website announcement. Continued use of the Application after a change takes effect constitutes acceptance of the revised Terms.
